A template downloaded from the internet rarely fits your deal and often leaves out the clauses that matter most when something goes wrong. We draft agreements around your actual transaction, in plain language, so both parties understand their obligations.

We also review contracts that someone else has put in front of you, point out the risks and suggest changes before you sign.

Questions

Frequently asked questions.

General information only, not legal advice on your specific matter. For advice on your situation, speak to one of our directors.

Does a contract have to be in writing?+
Many contracts are valid if concluded verbally, but proving the terms later is difficult. Some agreements must be in writing and signed to be valid, such as a contract for the sale of land. A written agreement is almost always the safer choice.
Can you review a contract someone else drafted?+
Yes. We review the agreement, explain the clauses that affect you, flag the risks and propose amendments before you sign.
Are restraint of trade clauses enforceable?+
A restraint is generally enforceable if it protects a legitimate interest and is reasonable in its duration, area and scope. An overly broad restraint may not be enforced. We draft restraints that are realistic.
What should a shareholders' agreement cover?+
At a minimum: how decisions are made, how profits are shared, what happens if a shareholder wants to sell or leaves, how disputes are resolved and how a shareholder's death or incapacity is dealt with.
