A company is only as sound as the documents and decisions behind it. We help owners set up the right structure, keep their governance in order and understand what the law expects of directors.

When things go wrong between owners, or a company faces financial trouble, we advise on the options and, where necessary, act in the dispute.

Questions

Frequently asked questions.

General information only, not legal advice on your specific matter. For advice on your situation, speak to one of our directors.

What is a memorandum of incorporation?+
The MOI is the company's founding document. It sets out the rights and duties of shareholders and directors and how the company is governed. A standard MOI may not suit your business, and it can be amended.
Do we need a shareholders' agreement if we have an MOI?+
Usually, yes. The shareholders' agreement deals with matters between the owners, such as how shares may be sold, what happens if someone leaves and how deadlocks are broken. It must be consistent with the MOI.
Can a director be held personally liable?+
In certain circumstances, yes. Directors must act in good faith, in the company's best interests and with reasonable care, skill and diligence. Breaching those duties or trading recklessly can lead to personal liability.
What should directors do if the company is struggling?+
Get advice early. Directors of a company that is financially distressed have specific obligations, and options such as business rescue may only be available if action is taken in time.
